Welcome to UGCAds. These Terms of Service ("Terms") govern your access to and use of the UGCAds platform, website, and services (collectively, the "Service") operated by UGCAds Inc. ("Company," "we," "us," or "our"), a company incorporated in the United States.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

3. Description of Service

UGCAds is an AI-powered platform that enables users to create video advertisements using AI-generated characters and voiceovers. The Service includes but is not limited to:

• UGC (User-Generated Content) style video ad creation
• Product advertisement video generation
• Product mockup generation
• AI script generation
• AI character selection and customization

4. Subscription Plans and Credits

The Service operates on a credit-based subscription model. Each subscription plan provides a set number of credits per billing cycle. Credits are used to generate content on the platform. Unused credits do not roll over to the next billing cycle unless explicitly stated in your plan.

We reserve the right to modify pricing, credit allocations, and plan features at any time. Changes will be communicated in advance and will take effect at the start of your next billing cycle.

5. Payment Terms

• All fees are charged in U.S. Dollars (USD).
• Subscriptions are billed on a recurring basis (monthly or annually) depending on your selected plan.
• You authorize us to charge your designated payment method for all fees incurred.
• All purchases of additional credit packs are non-refundable once credits have been used.
• Failure to pay may result in suspension or termination of your account.

6. Refund Policy

We offer a 3-day refund policy from the date of purchase for subscription plans, provided that no credits have been used during that period. Once any credits from your subscription have been consumed, the purchase becomes non-refundable. For full details, please see our Refund Policy.

7. Intellectual Property

Content You Create

You retain ownership of any scripts, product images, or other original content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to process and use such content solely for the purpose of providing the Service.

Generated Content

Content generated through the Service (videos, mockups, etc.) is licensed to you for commercial and personal use. You may use generated content across social media platforms, websites, advertising networks, and other digital channels without restriction.

Our Intellectual Property

The Service, including its design, code, AI models, character assets, templates, and branding, is the property of UGCAds Inc. and is protected by U.S. and international intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8. Acceptable Use

You agree not to use the Service to:

• Create content that is unlawful, defamatory, obscene, or harmful
• Generate content that infringes on third-party intellectual property rights
• Create deepfakes or content intended to deceive, defraud, or impersonate real individuals
• Distribute malware, spam, or engage in phishing
• Violate any applicable local, state, national, or international law
• Attempt to gain unauthorized access to the Service or its systems
• Resell, sublicense, or redistribute the Service without authorization

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated content may contain inaccuracies, and you are responsible for reviewing all generated content before use.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UGCADS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless UGCAds Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in English, in the State of Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
